Board of Directors
Bradesco’s Board of Directors is a decision-making body, composed of 6 (six) to 11 (eleven) members. All of them with 2-year term of office, and the reelection is allowed. Board of Directors’ Ordinary Meetings are held 12 (twelve) times a year, and Board of Directors’ Special Meetings are held whenever necessary. The Board has among its main duties: to establish the Organization’s strategy within the best Corporate Governance practices; to review the plans and business policies, protecting and maximizing the return on the shareholders’ investment; and to monitor the Board Executive Officers’ activities, ensuring the respect to ethical principles.
Luiz Carlos Trabuco Cappi
Chairman
Chairman of the Board of Directors of Banco Bradesco S.A. He began his career at Bradesco at the age of 17 as a bookkeeper. Over more than four decades, he has held various leadership positions, including Marketing Officer, Chief Executive Officer of Bradesco Vida e Previdência, and CEO of Bradesco Seguros. In 2009, he was appointed Chief Executive Officer (CEO) of Banco Bradesco, a position he held until 2018, when he became Chairman of the Board of Directors. In addition to Banco Bradesco S.A., he currently holds interests in companies within the Conglomerate, serving on Boards of Directors and Executive Boards.
His tenure at Bradesco was marked by major acquisitions, such as HSBC Brasil in 2015. He was recognized as one of the 100 most influential Brazilians and listed among the best CEOs in Brazil by Forbes magazine.
In addition to his work at Bradesco, he has a significant presence in various areas of the financial sector. He was named Entrepreneur of the Year in the finance category by Isto É Dinheiro magazine and continues to influence the Brazilian financial market with his strategic vision and solid leadership. He was President of the National Fundraising and Marketing Commission of Associação Brasileira das Entidades de Crédito Imobiliário e Poupança (ABECIP), President of Federação Nacional de Saúde Suplementar (FENASAÚDE), President of the Council of Representatives and Executive Board of Confederação Nacional das Instituições Financeiras (CNF), Member of the Superior Council and Vice President Confederação Nacional das Empresas de Seguros Gerais, Previdência Privada e Vida, Saúde Suplementar e Capitalização (CNSeg), Member of the Board of Directors and Advisory Board of FEBRABAN – Federação Brasileira de Bancos, Member of the Board of Directors of Associação Brasileira das Companhias Abertas (ABRASCA), Member of Conselho de Desenvolvimento Econômico e Social da Presidência da República (CDES), Member da Comissão de Assuntos Internacionais da SUSEP – Superintendence of Private Insurance.
Graduated in Philosophy and postgraduate degree in Socio-Psychology from Fundação Escola de Sociologia e Política de São Paulo (FESPSP).
Alexandre da Silva Glüher
Vice Chairman
Vice Chairman of the Board of Directors of Banco Bradesco S.A. He began his career in 1976 as a bookkeeper. Since then, he has dedicated his professional life to the Bank, becoming Vice President of the Executive Board in 2014 and of the Board of Directors in 2022.
He has extensive knowledge of banking products and services, resulting from his long experience in the branch network, where he worked for almost 30 years, four of which as Regional Director. He coordinated the Audit Committee of Banco Bradesco, S.A. for over four years. He has experience in Risk Management due to his work in areas such as: Integrated Risk Control, Internal Controls and Compliance, Auditing, Corporate Security, Legal, and Ombudsman. In addition, he was a member of the Banking Self-Regulation Council of the Brazilian Federation of Banks (FEBRABAN) and Vice President, President, and Effective Member of the Advisory Board of the Credit Guarantee Fund (FGC). He was also Chairman of the Board of Directors of CIP S.A. (Nuclea), factors that demonstrate his extensive knowledge and consolidate his experience. He is currently Chairman of the Board of Directors of Bradesco Bank (Florida, USA), Vice-Chairman of the Board of Directors of Bradespar S.A. and Bradesco Leasing S.A., and a member of the Board of Directors of several companies in the Bradesco Seguros Group.
Graduated in Accounting from Universidade Federal do Rio Grande do Sul and Business Administration from Universidade Luterana do Brasil (ULBRA), he participated in the International Executive Program (Advanced Management Program) at The Wharton School – University of Pennsylvania, USA; Financial Institutions Management (Banking) and has a specialization in Retail for Low-Income Segments and Credit Risk Management – Portfolio Vision, from the Fundação Getúlio Vargas (FGV) – São Paulo School of Business Administration; IBGC AI Leadership Program at The Wharton School – University of Pennsylvania, USA and is certified as a Board Member from Instituto Brasileiro de Governança Corporativa (IBGC).
Denise Aguiar Alvarez

Member of the Board of Directors of Banco Bradesco S.A. since 1990, in addition, she holds management positions in Bradesco’s parent companies, including Cidade de Deus – Companhia Comercial de Participações, NCD Participações Ltda., and Fundação Bradesco. She is noted for her experience in the areas of education and culture, serving as a member of the Board of Directors and Officer of Fundação Bradesco.
With extensive experience in education and culture, her work is marked by significant contributions to the dissemination of the concept of culture, education, and sustainability in Brazil.
Graduated in Pedagogy from Pontifícia Universidade Católica de São Paulo (PUC-SP), Master’s Degree in Education from New York University (NYU), in addition to honors conferred upon her, such as: Fernando de Azevedo Award – “Educator of the Year 2005,” from the Brazilian Academy of Education, the title of “Sustainability Citizen 2015,” awarded by the Academia Brasileira de Marketing (ABRAMARK), in recognition of her relevant and decisive contributions to the dissemination of the concept of sustainability in the country, through the Fundação Bradesco. Member of UNESCO’s High Level Reflection Group since 2020.
Maurício Machado de Minas

Member of the Board of Directors of Banco Bradesco S.A., having joined the Executive Board in 2009. In 2014, he was elected Vice President, and in 2018, he also became a member of the Board of Directors. In 2019, he became solely a member of the Board of Directors. In addition, he holds various management positions in Bradesco’s parent companies. He is also a member of the Board of Directors of B3 S.A. and Bradespar S.A. and Odontoprev S.A.
Information Technology professional with extensive experience in Risk Management. From 2014 to 2020, he was a member of the Integrated Risk Management and Capital Allocation Committee, and since 2020, he has been Coordinator of the Bradesco Risk Committee and Member of the Risk and Finance Committee (CRIF) of B3 S.A. – Brasil, Bolsa e Balcão. He has been recognized for his contributions to the sector, receiving awards and distinctions throughout his career. His expertise in technology and finance makes him an influential and respected person in the Brazilian market. He continues to positively impact companies and the financial sector with his strategic vision and leadership skills.
Graduated in Electrical Engineering from Escola Politécnica da Universidade de São Paulo (Poli/USP), he has a specialization in Data Communication and Software Development from NCR Comten, Inc. Rogério Pedro Câmara

Member of the Board of Directors since November 2024. He was Executive Vice President of Banco Bradesco S.A. between 2021 and 2024. He is also a member of the Board of Directors of Bradesco Seguros Group companies and Alelo and Veloe companies, in addition to coordinating the Audit Committee of Bradesco Saúde.
He began his career at Bradesco in a bank branch in June 1983, subsequently developing his knowledge of risks and controls while working in and leading the Internal Audit area and, later, heading up the Technology areas.
He holds a degree in Business Administration from Universidade Paulista (UNIP), a Lato Sensu postgraduate degree (MBA) with a specialization in Knowledge, Technology, and Innovation from Fundação Instituto de Administração (FIA), and another MBA in Controllership from Fundação Instituto de Pesquisas Contábeis, Actuarial and Financial Sciences at the University of São Paulo (FIPECAFI/USP), International module – MBA in Knowledge, Innovation and Technology from Bentley College – Waltham Massachusetts – USA, in addition to the Advanced Management Program from Fundação Dom Cabral (FDC) and the Advanced Management Program – IESE Business School from the University of Navarra, São Paulo, SP. Member of the Board of Directors of Banco Bradesco S.A. since March 2026. He joined the Bradesco Seguros Group in 1985 and, in 1998, was elected Legal Officer of the Insurance Group. He currently holds the position of Chief Executive Officer of Bradseg Participações S.A., Bradesco Seguros S.A., Bradseg Promotora de Vendas S.A., Bradesco SegPrev Investimentos Ltda., BSP Affinity Ltda., and Bradesco Gestão de Saúde S.A.
He is also Vice Chairman of the Board of Directors of Odontoprev S.A., as well as a full member of Bradesco Vida e Previdência S.A., Bradesco Capitalização S.A., Bradesco Auto/RE Companhia de Seguros, BSP Empreendimentos Imobiliários S.A., Fleury S.A., Pacífico Imobiliária Hospitalar S.A., Pacífico Operações Hospitalares S.A., and Companhia Brasileira de Gestão de Serviços (Orizon). He serves as 1st Vice Chairman of the Board of Directors and member of the Conselho de Gestão da Confederação Nacional das Seguradoras (CNSEG), the CEO Committee of AMCHAM Brasil/SP, and as a member of the Board of Directors of the Federação Nacional das Empresas de Seguros (FENASEG).
He holds a law degree from Universidade Católica de Petrópolis and was a professor of commercial law at the Universidade Católica de Petrópolis and insurance law at the Faculdade de Direito Cândido Mendes.
Paulo Roberto Simões da Cunha

Independent Member of the Board of Directors of Banco Bradesco S.A. since 2021.
He joined Central Bank of Brazil in 1976, in the Inspection Division, and in 1988, he became Head of Division, responsible for the inspection of Financial Institutions in São Paulo, remaining in that agency until 1998. He has accumulated significant experience in Risks. At the Central Bank of Brazil, he had experience in implementing a matrix structure and creating teams of inspectors specialized in IT systems, capital markets, risk management and credit risk analysis for direct inspection. He was also responsible for the preparation of the Supervision Programs, which consider the risks assumed by the Financial System, as well as the particularities of its agents. At KPMG Auditores Independentes, where he was a partner from 1998 to 2004, in the Financial Services area, he worked on the implementation of internal audit consulting services – outsourcing, self-assessment of controls and risks, Compliance diagnosis, Risk Assessment/Management, regulatory affairs and special projects related to controls and risks for the financial industry, in addition to having carried out several works in the areas of Compliance and Risk Management in the main Brazilian Banks. In 2004, he joined the Audit Committee of Bradesco, where he served as a Financial Specialist Member from 2004 to 2009 and, subsequently, from 2014 to 2021, when he was elected Independent Member of the Board of Directors.

Denise Pauli Pavarina

Member of the Board of Directors of Banco Bradesco S.A. since March 2022, as well as a member of the Sustainability and Diversity Committees and the Strategy Committee. She also serves as a member of the Board of Directors and Coordinator of the Investment Committee of Solvi Essencis Ambiental S.A., member of the Advisory Board of GFANZ – Global Financial Alliance for Net Zero, member of the Board of Climate Finance Hub Brasil, member of the Ethics Council of ANBIMA – Brazilian Association of Financial and Capital Market Entities, an association of which she was president for four years, Member of the Supervisory Board of Securities Analysts of APIMEC NACIONAL – Association of Professional Investment Analysts of the Capital Market, Member of the Advisory Board of Seneca Evercore Advisors, and Member of the Brazilian Chapter of the WCD Foundation – Women Corporate Directors. He was Vice Chair of the TCFD-FSB – Task Force on Climate-related Financial Disclosures until the closure of that task force. Denise was the President of Anbima for four years and a member of several boards of directors, such as Vale S.A., B3 S.A. – Brasil, Bolsa, Balcão, Cielo S.A. – Payment Institution, among others
Executive with extensive experience in the Organization, acquired throughout her career at Banco Bradesco, where she held executive positions until January 2019, reaching the Executive Board in 2012. Denise has a history of leadership in various organizations, boards, and committees, standing out for her work in investments, governance, and sustainability, while also accumulating solid experience in the areas of capital markets and portfolio management. She was also a director of companies at Banco Nacional de Desenvolvimento Econômico e Social (BNDES) in 2019.
She holds a degree in Economics from Faculdade Armando Álvares Penteado (FAAP) and in Law from Universidade Paulista (UNIP), an Executive MBA in Finance from Instituto de Ensino e Pesquisa (Insper) and has participated in the International Executive Program (AMP – Advanced Management Program) at IESE Business School. She also participated in the international course Leading From the Chair offered from European Institute of Business Administration (INSEAD) and she is certified as a Board Member from Instituto Brasileiro de Governança Corporativa (IBGC).
Regina Helena Jorge Nunes

Independent Member of the Board of Directors of Bradesco since March 2026. She is a C-Level executive with over 35 years of experience in the Financial and Capital Markets, with a solid international career in Business Development, Market Expansion, and Risk Management. She has held strategic positions in Brazil, Latin America, the United States, Europe, and Asia, leadership multicultural teams, driving global strategies and promoting sustainable growth, profitability, and corporate governance throughout her career.
As regards her work on Boards of Directors, she has accumulated eight years as an Independent Board Member in companies from a wide range of sectors, including energy, healthcare, payment methods, insurance, infrastructure, and business institutions, in addition to her extensive experience on Audit, Risk, Sustainability, Governance, Finance, and Compensation Committees, where she has served as chair and coordinator. She is currently a member of the Board of Directors and the Audit and Risk Committee of the Spanish energy company Iberdrola (Bilbao, Spain), as well as a member of the Board of Directors and Chair of the Audit and Risk Committee of Atlântica D’Or.
As an executive, she worked for 20 years at S&P Global Ratings, where she led operations in Brazil, Argentina, and Southern Latin America, in addition to performed global functions in emerging market strategy. Since 2018, she has been CEO and co-founder of RNA Capital, a company dedicated to risk management, corporate governance, ESG, and fundraising. Previous to that, she built her career at financial institutions such as Chase Manhattan and Commercial Bank of New York, where she worked in credit, risk, trade finance, corporate banking, structured funding, privatizations, and complex financial projects.
In terms of her academic background, she graduated in Business Administration from Universidade Mackenzie and complemented her education with advanced programs in leadership, finance, and management at New York University, Columbia University, and INSEAD. She is fluent in Portuguese, English and Spanish, and has been recognized by institutions such as Forbes, Valor Econômico, ANEFAC, and IBEF as one of the most influential business leaders in the country, standing out for her capacity for innovation, strategic thinking and significant contribution to strengthening corporate governance and the sustainable development of organizations.
Paulo Rogério Caffarelli

Independent Member of the Board of Directors since March 2026. He is an executive with over 30 years of experience in the financial, industrial, payments, and public service sectors, with expertise in leading large organizations, digital and cultural transformation, corporate management, and strategic business development. His career includes prominent positions such as President of Banco do Brasil, President of Cielo, and President of Banco BBC Digital (SIMPAR Group), where he led operational restructuring, technological acceleration, and profitability expansion processes. Throughout his career, he has led decisive movements for growth, competitiveness recovery, and strategic repositioning of institutions of great national importance.
Before these positions, he worked at the Ministry of Finance as Executive Secretary, coordinated interministerial agendas, and structured programs with national impact, such as the support package for the electricity sector. At Banco do Brasil, he held several leadership positions, including Vice President of Wholesale, International, Private Banking, Capital Markets, and Vice President of Retail, with significant results in credit portfolios, international business, security, and investments. He was also Officer of Retail Business, Marketing, and Logistics. He has solid corporate experience at CSN, where he headed strategic areas such as Finance, Investor Relations, Legal, People, and Supplies, in addition to lead negotiations in the mining sector.
His academic background includes a master’s degree in economics from Universidade de Brasília, an MBA in Corporate Law and Finance from Fundação Getúlio Vargas (FGV), a Law degree from Pontifícia Universidade Católica do Paraná (PUC-PR), specializations in foreign trade and international law, as well as executive programs at institutions such as Harvard Business School and MIT Sloan. With extensive experience in corporate governance, he has served for over two decades on the boards of directors of large companies such as Suzano, Vale, Banco do Brasil, Brasilprev, IRB Brasil, among others, and is certified as a board member from BGC. His work on boards and committees demonstrates a strong commitment to governance, sustainability, and long-term value creation.

The Board of Executive Officers is in charge of establishing and monitoring the performance of the strategic guidelines of the Board of Directors, as well as managing and representing the Company.
Marcelo de Araújo Noronha
Chief Executive Officer
Chief Executive Officer (CEO) of Banco Bradesco S.A. since November 2023, noted for his professional experience, acquired over more than 38 years in the financial market, 20 of which were dedicated to the Bradesco Organization, where he worked in the areas of Cards, Wholesale, Marketing, and Retail.
At Bradesco, he held various leadership positions throughout his career, including vice presidencies in areas such as Corporate, Bradesco Empresas, Bradesco BBI, International, and Foreign Exchange. He was also responsible for Bradesco Cartões and affiliated payment and payment institution companies, including positions on the Boards of Directors of companies such as Alelo Instituição de Pagamento S.A. and Cielo S.A. – Instituição de Pagamento.
His management style is results-oriented and focused on the continuous pursuit of innovation. He has been recognized for his ability to lead complex projects and for his strategic vision, which has helped strengthen Bradesco’s position in the financial market.
He holds a degree in Business Administration from Universidade Federal de Pernambuco (UFPE), with a specialization in Finance from Instituto Brasileiro de Mercado de Capitais (IBMEC), in Financial Institutions Management (Banking) from Escola de Administração de Empresas de São Paulo da Fundação Getulio Vargas (EAESP – FGV), and an Advanced Management Program (AMP) from IESE – Instituto de Estudios Empresariales of Universidade de Navarra in Barcelona. He is a certified advisor by Instituto Brasileiro de Governança Corporativa (IBGC).
Cassiano Ricardo Scarpelli
Vice President
Vice President of Banco Bradesco S.A., where he began his career in 1984 as a messenger. Since then, he has dedicated his professional life to the Bank, being elected Officer in 2007, Deputy Executive Officer in 2015, and Vice President in 2018, a position he still holds today.
He has consolidated his career in areas such as: Capital Markets, Budgeting and Control, Shares and Custody, Treasury, and Prime. He currently holds the position of CFO (Chief Financial Officer) of the Organization, responsible for the Financial Planning and Controllership and Market Relations structure; and concurrently, he acts as CTO (Chief Transformation Officer), responsible for leading the Operational Transformation Office of Banco Bradesco and CIO (Chief Information Officer) on an interim basis.
Graduated in Economics from Faculdade de Ciências Econômicas e Administrativas de Osasco (FEAO), he complemented his education with the International Executive Program at Queen’s School of Business – Queen’s Executive Program, in Ontario, Canada.
José Ramos Rocha Neto

Vice President of Banco Bradesco S.A. since December 2022, with experience gained at Banco Bilbao Vizcaya in the areas of Trade Finance, Business Development, and Middle Market Platform. He joined Bradesco in 2003, where his solid track record and expertise in Loans and Financing, in addition to his experience in the Operations, Cash Management, and Investments areas, led him to the position of Vice President.

Fiscal Council
Body instated every year since 2002, becoming permanent from 2015, and is composed of five effective members and, currently, five substitute members. One effective member and his/her substitute are chosen among the preferred stockholders.
The Fiscal Council inspects all management’s acts, issues opinion on the management’s annual reports and the management bodies’ proposals relating modification of the corporate capital, debentures issue or subscription warranties, investment plans or capital budgets, payment of dividends; it denounces frauds, errors or crimes to the management bodies, analyzes the quarterly financial statements and requests the attendance of the Company’s Independent Auditors at the meetings.

He is currently Chairman of the Board of Directors of Bradesco Bank (Florida, USA), Vice-Chairman of the Board of Directors of Bradespar S.A. and Bradesco Leasing S.A., and a member of the Board of Directors of several companies in the Bradesco Seguros Group.

He began his career at Bradesco in a bank branch in June 1983, subsequently developing his knowledge of risks and controls while working in and leading the Internal Audit area and, later, heading up the Technology areas.

He has consolidated his career in areas such as: Capital Markets, Budgeting and Control, Shares and Custody, Treasury, and Prime. He currently holds the position of CFO (Chief Financial Officer) of the Organization, responsible for the Financial Planning and Controllership and Market Relations structure; and concurrently, he acts as CTO (Chief Transformation Officer), responsible for leading the Operational Transformation Office of Banco Bradesco and CIO (Chief Information Officer) on an interim basis.

With over 30 years of experience in the financial market, he worked in corporate client management, in the direct consumer credit, cards and payment methods segment. He was responsible for the operation of the American Express Establishment Network in Brazil after its acquisition by Bradesco, and was Product Officer at Bradesco Cartões, managing the Visa, Elo, Mastercard and Amex portfolios. He took over Bradesco Promotora in 2013 and, in 2017, became head of operations at Bradesco Cartões. In early 2021, he took over the operation of Bradesco Financiamentos, an operation focused on financing for the acquisition of light and heavy vehicles. He serves on the Boards of Directors, Executive Boards and Committees of companies such as Cielo S.A., Alelo S.A. Livelo S.A and Elo Serviços.

Throughout this tenure at Bradesco, led numerous strategic initiatives, including the structuring of market and liquidity risk areas, regulatory and compliance frameworks, data intelligence solutions, as well as the implementation of Brazil’s General Data Protection Law (LGPD) and Open Finance.

With 35 years of national and international experience in complex litigation, Júlio built a distinguished career at Pinheiro Neto Advogados, where he began as an intern in 1989 and rose to become Partner and Head of the Litigation Department. Throughout his journey, he led legal strategies in high-stakes disputes, arbitration, mediation, and infrastructure and government contracts. His expertise also spans regulatory compliance, corporate governance, banking law, and consumer protection. His work is marked by strategic vision, leadership, and deep technical mastery. He has held prominent roles including President of the Executive Board of the Dispute Resolution Board Foundation (DRBF), Co-chair of the International Construction Projects Committee (ICP), and Fellow of both the Chartered Institute of Arbitrators (FCIArb), the International Academy of Construction Lawyers (FIACL) and Vice President of Latin American & Caribbean Users’ Courncil da London Court of Internacional Arbitration (LCIA).

Luiz Carlos Trabuco Cappi

Over more than four decades, he has held various leadership positions, including Marketing Officer, Chief Executive Officer of Bradesco Vida e Previdência, and CEO of Bradesco Seguros. In 2009, he was appointed Chief Executive Officer (CEO) of Banco Bradesco, a position he held until 2018, when he became Chairman of the Board of Directors. In addition to Banco Bradesco S.A., he currently holds interests in companies within the Conglomerate, serving on Boards of Directors and Executive Boards.
His tenure at Bradesco was marked by major acquisitions, such as HSBC Brasil in 2015. He was recognized as one of the 100 most influential Brazilians and listed among the best CEOs in Brazil by Forbes magazine.
In addition to his work at Bradesco, he has a significant presence in various areas of the financial sector. With more than 27 years of experience in the financial sector, Leandro José Diniz built a solid career within the Bradesco Organization, which began in 1997 when he joined Banco BCN S.A. as Manager—an institution acquired by Banco Bradesco S.A. in the same year. Since then, he has held positions of increasing responsibility, standing out for his leadership, management capabilities, and strategic vision.
Throughout his career, he served as Regional Manager, was promoted to Executive Superintendent in 2011, and elected Regional Officer in 2012.
